Terms and Conditions
These Terms and Conditions (“Terms”) are a legal agreement between you (“Client”) and BGB Commerce LLC, doing business as Sellis (“Sellis”), concerning your use of the Site and Services.
1. AGREEMENT TO TERMS
These Terms and Conditions, together with any Service Agreement signed between Client and Sellis Group (“Sellis”), constitute a legally binding agreement made between the Client identified in the Service Agreement and Sellis, concerning Client’s access to and use of https://www.gosellis.com (the "Site") and the automation services offered by Sellis (the "Services").
By accessing the Site or using the Services, Client acknowledges that they have read, understood, and agreed to be bound by these Terms. Sellis reserves the right to update these Terms at any time by posting revisions on the Site. Continued use of the Site or Services constitutes acceptance of any updates.
2. CLIENT DATA & SERVICE USAGE
Client retains ownership of all data submitted to or generated within the Services. Client grants Sellis a limited license to use that data solely for the purpose of providing Services.
Insights, workflows, and AI models developed by Sellis remain the intellectual property of Sellis.
Client is solely responsible for ensuring compliance with all applicable privacy, marketing, and communication laws when using the Services.
If Sellis provisions phone numbers, call routing, voicemail, or AI receptionists for Client, Client agrees not to use such services for spam, fraudulent, or unlawful communications.
Client is responsible for securing any required consent under the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and similar laws before contacting end users.
Sellis provides call services on a best-effort basis and does not guarantee uninterrupted or error-free operation.
Sellis reserves the right to suspend or revoke telephony features if misuse or noncompliance is suspected.
4. SELLIS’ INTELLECTUAL PROPERTY All materials, software, processes, methodologies, designs, trademarks, logos, and content made available through the Site or Services remain the exclusive property of Sellis. Client agrees not to copy, modify, reverse engineer, distribute, or otherwise use Sellis’ intellectual property outside the scope of these Terms.
5. CONFIDENTIALITY Both parties may share confidential information during the course of engagement. Each party agrees to protect the other’s confidential information with at least the same level of care it uses to protect its own. Confidentiality obligations survive termination of Services.
6. FEES, BILLING, AND TERMINATION
Client agrees to pay all fees as outlined in the Service Agreement or invoice.
In the event of termination, Client remains responsible for payment of Services delivered up to the effective date of termination.
Either party may terminate Services with written notice as outlined in the Service Agreement.
7. PROHIBITED USES Client agrees not to use the Site or Services to:
Upload or transmit malicious code.
Harass, abuse, or impersonate others.
Circumvent usage limits or protections.
Engage in unsolicited or unlawful communications.
8. WARRANTIES AND DISCLAIMERS Sellis will provide Services using reasonable care and skill. Except as expressly stated, Services are provided “as is,” without warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. LIMITATION OF LIABILITY To the maximum extent permitted by law, Sellis’ total liability arising from or related to the Services shall not exceed the amount paid by Client in the six (6) months prior to the claim. Sellis shall not be liable for indirect, incidental, or consequential damages.
10. INDEMNIFICATION Client agrees to indemnify and hold harmless Sellis against claims, damages, or expenses arising from Client’s misuse of the Services or violation of these Terms.
11. PRIVACY POLICY Please review Sellis’ Privacy Policy for details on how we handle personal data. Use of the Site and Services constitutes agreement to the Privacy Policy.
12. GOVERNING LAW & DISPUTE RESOLUTION These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws. Disputes shall first be addressed through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in New Jersey, except where prohibited by law.
